AccuTranslate Partner Program Terms of Service
Effective Date: May 12, 2026
Last Updated: October 20, 2026
These Partner Program Terms of Service ("Terms") govern participation in the AccuTranslate Partner Program ("Program") operated by AccuTranslate LLC, a limited liability company organized under the laws of North Carolina, United States ("AccuTranslate," "Company," "we," "us," or "our").
By accepting an invitation to participate in the Program, completing Partner registration, or electronically accepting these Terms, you ("Partner," "you," or "your") agree to be bound by these Terms.
If you are accepting these Terms on behalf of a business or other legal entity, you represent that you have authority to bind that entity.
1. Program Overview
1.1. The AccuTranslate Partner Program allows approved individuals and businesses to refer customers to AccuTranslate's professional translation services through designated referral links, promotional codes, or other expressly authorized referral methods.
1.2. Eligible Partners may earn commissions on qualifying customer purchases. Referred customers may receive discounts on eligible translation services, subject to the terms agreed between the Partner and AccuTranslate.
1.3. Participation is voluntary, invitation-only, and non-exclusive. Partners may promote or work with competing service providers, provided they comply with these Terms.
1.4. There are no minimum referral requirements, and AccuTranslate does not guarantee any particular amount of sales, commissions, or earnings.
1.5. Participation is free unless the parties expressly agree otherwise in writing.
2. Eligibility and Enrollment
2.1. Participation in the Program is available only by invitation from AccuTranslate.
2.2. Eligible Partners may include individuals, businesses, professional service providers, organizations, and other entities authorized to participate under applicable law.
2.3. Individual Partners must be at least 18 years old or the age of legal majority in their jurisdiction, whichever is higher.
2.4. Partners must provide accurate contact, registration, and payment information and must promptly update information that becomes inaccurate.
2.5. AccuTranslate reserves the right to approve, decline, suspend, or terminate participation in accordance with these Terms and applicable law.
2.6. The Program is available internationally, subject to applicable laws, sanctions, payment-provider availability, and AccuTranslate's operational requirements.
2.7. Partners are responsible for determining whether participation is permitted under applicable professional ethics rules, employer policies, and other obligations.
3. Partner-Specific Commission and Discount Agreements
3.1. The Program's standard proposed benefits are:
- A 10% commission for the Partner on qualifying translation-service revenue; and
- A 10% discount for referred customers on eligible translation services.
3.2. The actual commission percentage and customer discount percentage applicable to each Partner are subject to mutual agreement between AccuTranslate and the Partner. These percentages may be higher or lower than the standard proposed rates.
3.3. Applicable rates must be confirmed in writing by both parties before becoming effective. Written confirmation may include an executed agreement, an accepted electronic offer, or an email exchange clearly documenting mutual agreement.
3.4. AccuTranslate will maintain a record of each Partner's agreed commission rate, customer discount, and effective date.
3.5. Unless otherwise expressly agreed, the commission rate and customer discount rate may be negotiated independently and need not be equal.
3.6. A Partner is not entitled to any particular commission percentage or customer discount merely by enrolling in the Program. The applicable rates are those confirmed in the Partner's individual agreement with AccuTranslate.
3.7. Any changes to an agreed commission or discount rate must be mutually agreed in writing, except where changes are required by applicable law or these Terms expressly permit the suspension of an unlawful arrangement.
3.8. Agreed changes to commission or discount percentages will apply prospectively from their specified effective date. They will not retroactively alter the rates applicable to qualifying purchases completed before that date, except for legitimate refunds, chargebacks, corrections, or fraud-related adjustments.
3.9. If a Partner-specific written agreement conflicts with these Terms regarding commission percentages, discount percentages, or other expressly negotiated commercial provisions, that written agreement will control solely with respect to those provisions, unless prohibited by applicable law.
4. Referral Links, Promotional Codes, and Attribution
4.1. AccuTranslate may issue each Partner a unique referral link, promotional code, or both.
4.2. A customer purchase qualifies for referral attribution when:
- (a) The customer completes a qualifying purchase within 30 calendar days after clicking the Partner's valid referral link; or
- (b) The customer applies the Partner's active, valid promotional code at checkout.
4.3. A promotional code applied at checkout takes priority over attribution established through referral-link tracking.
4.4. If multiple referral links are associated with the same purchase and no eligible promotional code is applied, attribution will generally be assigned to the most recently clicked valid Partner referral link within the 30-day attribution window.
4.5. Unless otherwise agreed in writing, repeat customer purchases qualify for additional commissions only when independently attributed through a new eligible referral-link interaction or the use of the Partner's valid promotional code.
4.6. An initial referral does not entitle the Partner to commissions on all future purchases made by the referred customer.
4.7. Referral attribution depends on available tracking technology, customer browser settings, and accurate use of referral links or codes. AccuTranslate does not guarantee attribution where tracking information is missing, disabled, or otherwise unavailable.
4.8. If a Partner believes a qualifying referral was not properly attributed, the Partner may contact AccuTranslate for review. AccuTranslate will consider available order records, tracking information, and other reasonable supporting evidence.
4.9. Partners may not manipulate referral tracking, create fraudulent transactions, engage in unauthorized self-referrals, or interfere with another Partner's legitimate referrals.
5. Customer Discounts
5.1. Referred customers are eligible for the customer discount percentage mutually agreed upon by AccuTranslate and the Partner, subject to the requirements of these Terms.
5.2. Customer discounts apply exclusively to eligible translation services.
5.3. Discounts do not apply to:
- Notarization services;
- Mailing, shipping, or physical delivery services;
- Other separately priced add-on services;
- Applicable taxes or government-imposed fees; or
- Other charges expressly excluded in a written Partner-specific agreement.
5.4. Unless expressly authorized by AccuTranslate, Partner discounts cannot be combined with other promotional offers.
5.5. Discounts have no cash value, cannot be transferred for resale, and may not be applied retroactively to purchases already completed.
5.6. Customer-facing promotional materials must accurately reflect the agreed discount percentage and any material conditions or exclusions.
6. Partner Commissions
6.1. Partners earn commissions on qualifying referred purchases at the commission percentage mutually agreed in writing under Section 3.
6.2. Commissions are calculated based on Net Eligible Translation Revenue.
6.3. "Net Eligible Translation Revenue" means the amount actually paid and retained by AccuTranslate for eligible translation services after customer discounts, refunds, credits, and applicable adjustments, excluding taxes, notarization, mailing, shipping, and other separately priced add-on services.
6.4. Unless otherwise agreed in writing, commissions are calculated after the customer's applicable translation-service discount has been applied.
6.5. For illustration, where the original translation-service price is $100, the customer receives a 10% discount, and the Partner earns a 10% commission, the eligible translation revenue is $90 and the Partner's commission is $9.
6.6. Commissions are not payable on unpaid, canceled, fraudulent, or otherwise ineligible orders.
6.7. Commissions are not payable on the Partner's own purchases or purchases artificially arranged to generate referral compensation.
6.8. Each qualifying order may be attributed to only one Partner, unless AccuTranslate expressly authorizes a different arrangement in writing.
6.9. AccuTranslate may correct reasonable calculation errors, subject to providing an explanation upon request.
7. Commission Status and Order Completion
7.1. Commissions are tracked using the following statuses:
- Pending: A qualifying order has been paid, but the order has not yet met the completion requirements.
- Available: The order has met the completion requirements, and its associated commission is eligible for payment, subject to these Terms.
- Paid: AccuTranslate has successfully issued the commission payment.
- Reversed: A previously recorded commission has been canceled or adjusted because of a refund, chargeback, fraud, or other qualifying reason.
7.2. A commission initially becomes Pending after payment for a qualifying referred order has been successfully received.
7.3. An order is considered complete when:
- (a) The customer marks the order as complete through AccuTranslate's order-management system;
- (b) The customer expressly communicates that the order has been completed satisfactorily; or
- (c) At least 10 calendar days have passed since the applicable delivery event and the customer's most recent substantive order-related communication, whichever is later, provided there is no unresolved customer concern, active revision request, or payment dispute.
7.4. For electronically delivered orders, the applicable delivery event is the successful delivery of the completed translation.
7.5. For orders involving physical mailing, the applicable delivery event is confirmed delivery of the mailed materials to the customer's designated address. The 10-day period begins after the later of confirmed mail delivery or the customer's most recent substantive order-related communication.
7.6. AccuTranslate may reasonably delay an order's completion status where there are unresolved translation issues, revision requests, customer disputes, suspected fraud, or payment concerns.
7.7. When an order meets the completion requirements, its associated commission becomes Available and is added to the Partner's Available Balance.
7.8. A commission becoming Available does not prevent subsequent reversal or adjustment under Section 9.
8. Commission Payments
8.1. AccuTranslate processes Partner commission payments monthly.
8.2. Qualifying payments will be issued within the first 15 calendar days of the month following the month in which the applicable commissions became Available.
8.3. A Partner's Available Balance must equal or exceed USD $25 to qualify for a regular monthly payout.
8.4. Available Balances below USD $25 automatically carry forward to subsequent months until the minimum payout threshold is reached.
8.5. The default payment method is PayPal.
8.6. Where a Partner cannot reasonably receive payment through PayPal, the Partner and AccuTranslate may mutually agree in writing to an alternative payment method.
8.7. AccuTranslate will generally cover standard PayPal payout-sending fees.
8.8. Any additional fees associated with alternative payment arrangements, currency conversion, or intermediary financial institutions may be allocated as mutually agreed in writing, subject to applicable law.
8.9. Commissions are calculated and recorded in U.S. dollars. Any conversion into another currency will be subject to the applicable payment provider's exchange rates and terms.
8.10. Partners must provide accurate payment details and any reasonably required tax or identity verification documents.
8.11. AccuTranslate may reasonably delay payments where necessary to comply with applicable laws, complete verification, investigate suspected fraud, or resolve material payment disputes.
8.12. Payment delays caused by incorrect Partner information, payment-provider restrictions, or circumstances reasonably outside AccuTranslate's control will not constitute a breach of these Terms, provided AccuTranslate acts reasonably to resolve the issue.
9. Refunds, Chargebacks, and Commission Reversals
9.1. Commission eligibility is based on qualifying translation revenue ultimately retained by AccuTranslate.
9.2. If an eligible translation order is fully refunded, the associated commission will be reversed.
9.3. If an eligible translation order is partially refunded, the associated commission will be recalculated based on the remaining Net Eligible Translation Revenue.
9.4. Chargebacks, payment reversals, fraudulent transactions, or other valid adjustments may result in corresponding commission reversals.
9.5. Where a commission has already been paid, AccuTranslate may offset the reversed amount against future commissions. Any remaining amount may be addressed through a reasonable repayment arrangement, subject to applicable law.
9.6. Partners may request an explanation or review of any commission reversal.
9.7. AccuTranslate will maintain reasonable records of commission adjustments and reversals.
10. Partner Marketing and Advertising
10.1. Partners may promote AccuTranslate using their authorized referral links, promotional codes, and marketing materials approved or provided by AccuTranslate.
10.2. Partners may not use AccuTranslate's name, logo, trademarks, copyrighted materials, or other branding outside the scope of approved promotional activities.
10.3. All paid advertising promoting AccuTranslate, including search, display, social media, or sponsored campaigns, requires AccuTranslate's prior written approval.
10.4. Approval for paid advertising may be subject to restrictions regarding platforms, keywords, advertising content, budgets, targeting, and use of AccuTranslate's branding.
10.5. Unless expressly authorized, Partners may not bid on AccuTranslate's trademarks, business name, or confusingly similar terms through paid search advertisements.
10.6. Partners must not:
- Misrepresent their relationship with AccuTranslate;
- Present themselves as employees or authorized agents of AccuTranslate;
- Guarantee acceptance of translations by government agencies or other third parties;
- Make unauthorized promises regarding prices, service capabilities, or delivery times;
- Send unlawful unsolicited commercial communications or engage in spam;
- Use misleading websites, impersonation, or deceptive marketing;
- Engage in fraudulent referral or tracking practices; or
- Otherwise violate applicable advertising or consumer protection laws.
10.7. Partners must clearly and conspicuously disclose their financial relationship with AccuTranslate where required by applicable law.
10.8. AccuTranslate may request corrections to noncompliant promotional materials and may suspend unauthorized marketing activity.
11. Professional Ethics and Regulatory Compliance
11.1. Partners who are attorneys, notaries, immigration professionals, financial professionals, or members of other regulated professions must ensure that participation and receipt of referral compensation are permitted under all applicable professional and ethical rules.
11.2. No provision of these Terms authorizes Partners to violate professional duties, fiduciary obligations, conflict-of-interest rules, fee-sharing restrictions, or client protection requirements.
11.3. Where a Partner is legally or professionally prohibited from accepting referral commissions, AccuTranslate may offer a discount-only arrangement, subject to applicable law and mutual agreement.
11.4. Partners must make any disclosures or obtain any consents required under applicable laws, professional rules, or organizational policies.
11.5. Partners must exercise independent professional judgment and must not recommend AccuTranslate where doing so would violate duties owed to their clients.
11.6. AccuTranslate may decline, suspend, or discontinue a compensation arrangement where it reasonably determines that the arrangement could violate applicable legal or professional requirements.
11.7. Nothing in these Terms creates a relationship under which AccuTranslate provides legal advice, legal representation, or guaranteed outcomes in immigration, academic, judicial, or administrative proceedings.
12. Customer Relationships and Confidentiality
12.1. Referred customers purchase services directly from AccuTranslate and are subject to AccuTranslate's applicable customer-facing terms and policies.
12.2. A Partner's participation does not grant ownership of customer accounts, customer documents, translation records, or customer relationships maintained by AccuTranslate.
12.3. Partners must not provide confidential customer information or documents without appropriate authorization and a lawful basis.
12.4. Partners must implement reasonable measures to protect personal information obtained through Program activities.
12.5. AccuTranslate may process Partner information, referral records, commission information, and payment details as reasonably necessary to operate the Program, subject to applicable privacy laws and notices.
12.6. Partners are not entitled to obtain customers' confidential documents or personal information solely because they referred those customers.
12.7. Each party agrees to protect confidential nonpublic information received from the other party and not disclose it except as authorized or legally required.
13. Taxes and Reporting
13.1. Partners are responsible for determining and satisfying their own tax obligations arising from Program compensation, except for taxes that AccuTranslate is legally required to withhold or remit.
13.2. AccuTranslate may request tax documentation reasonably necessary for compliance, including IRS Form W-9 from applicable U.S. Partners or Form W-8BEN, W-8BEN-E, or other appropriate documentation from applicable non-U.S. Partners.
13.3. AccuTranslate may issue applicable tax reporting documents, including Form 1099-NEC or other forms, when legally required.
13.4. AccuTranslate may withhold or delay payments where necessary to satisfy applicable tax documentation, reporting, or withholding requirements.
13.5. Partners remain responsible for reporting taxable income regardless of whether they receive a tax information return.
13.6. AccuTranslate does not provide individual tax or legal advice to Partners.
14. Intellectual Property
14.1. AccuTranslate retains all rights to its name, trademarks, logos, website, marketing materials, and other intellectual property.
14.2. Approved Partners receive a limited, revocable, non-exclusive, non-transferable license to use expressly approved promotional materials solely for authorized Program activities.
14.3. Partners may not modify, sublicense, register, or claim ownership of AccuTranslate intellectual property.
14.4. Upon termination, Partners must discontinue unauthorized use of AccuTranslate promotional materials and remove statements suggesting an ongoing authorized partnership.
15. Independent Relationship and Non-Exclusivity
15.1. Participation does not establish an employment, agency, franchise, joint venture, or legal partnership relationship.
15.2. Partners act independently and are not authorized to bind AccuTranslate, make contractual commitments on its behalf, or collect payments as its representatives.
15.3. Participation is non-exclusive. Partners may recommend or work with competing translation providers.
15.4. Neither party is obligated to generate a minimum number of referrals or maintain a minimum level of business.
16. Program Modifications
16.1. AccuTranslate may modify the general operation of the Program, including eligibility standards, tracking procedures, marketing policies, administrative requirements, and other Program rules.
16.2. For material changes adversely affecting existing Partners, AccuTranslate will ordinarily provide at least 30 calendar days' advance notice, unless immediate action is reasonably necessary for legal compliance, security, fraud prevention, or other urgent operational circumstances.
16.3. Changes to Partner-specific agreed commission or discount percentages require mutual written agreement as described in Section 3.
16.4. General Program modifications will not retroactively reduce valid commissions already earned under previously agreed rates, except for lawful commission adjustments, refunds, chargebacks, or fraud-related reversals.
16.5. Partners who do not accept a material change may terminate their participation.
16.6. Continued participation after properly notified changes become effective constitutes acceptance to the extent permitted by applicable law.
17. Suspension and Termination
17.1. Either party may terminate the Partner relationship at any time by providing written or electronic notice.
17.2. AccuTranslate may immediately suspend or terminate participation where there is fraud, material violation of these Terms, unlawful activity, misuse of intellectual property, or other serious misconduct.
17.3. Upon termination, the Partner must discontinue active promotion under the Program and cease unauthorized use of AccuTranslate marketing materials.
17.4. Valid commissions attributable to qualifying customer purchases completed before the effective termination date remain eligible for payment once the associated orders satisfy the completion requirements, subject to these Terms.
17.5. No new commission eligibility arises from purchases completed after termination, unless expressly agreed in writing.
17.6. AccuTranslate will pay all valid remaining commissions, including Available Balances below the standard USD $25 minimum, within 60 calendar days following termination or, for an order that becomes complete after termination, within 60 calendar days after the related commission becomes Available.
17.7. Final payments remain subject to applicable tax requirements, identity verification, lawful withholding, and commission adjustments.
17.8. Termination does not relieve either party of obligations accrued before termination.
18. Disclaimer of Warranties
18.1. The Program is provided on an "as available" basis to the extent permitted by applicable law.
18.2. AccuTranslate does not guarantee uninterrupted referral tracking, continuous Program availability, specific sales volumes, or minimum commission earnings.
18.3. Nothing in these Terms excludes warranties, rights, or protections that cannot lawfully be excluded.
19. Limitation of Liability
19.1. To the fullest extent permitted by law, neither party shall be liable to the other for indirect, incidental, special, consequential, or punitive damages arising from Program participation, including anticipated referral earnings or lost profits.
19.2. To the fullest extent permitted by applicable law, AccuTranslate's aggregate liability arising out of the Program shall not exceed the total commissions paid or payable to the Partner during the 12 months preceding the event giving rise to the claim.
19.3. This limitation does not eliminate AccuTranslate's obligation to pay valid commissions due under these Terms and does not limit liabilities that cannot lawfully be excluded or restricted.
20. Indemnification
20.1. To the extent permitted by applicable law, the Partner agrees to indemnify and hold harmless AccuTranslate LLC, its officers, employees, and authorized representatives against third-party claims, damages, losses, and reasonable expenses arising from the Partner's unlawful marketing practices, material misrepresentations, infringement of third-party rights, or material breach of these Terms.
20.2. This obligation shall not extend to losses caused by AccuTranslate's own wrongful conduct to the extent such allocation is prohibited by law.
21. Governing Law and Dispute Resolution
21.1. These Terms are governed by the laws of North Carolina, United States, without regard to its conflict-of-law principles, except where mandatory applicable law requires otherwise.
21.2. Before initiating formal legal proceedings, the parties agree to attempt in good faith to resolve disputes through written communication for at least 30 calendar days, unless urgent legal relief is necessary.
21.3. Subject to applicable mandatory jurisdiction and consumer protection laws, disputes that cannot be resolved informally shall be brought before the competent state or federal courts serving Wake County, North Carolina.
21.4. Nothing in these Terms prevents a party from seeking urgent injunctive relief or exercising rights that cannot legally be waived.
22. General Provisions
22.1. These Terms, together with any Partner-specific written agreements, constitute the agreement governing participation in the Program.
22.2. Partner-specific agreements control over these Terms only to the extent expressly provided under Section 3.9 or otherwise clearly agreed in writing.
22.3. If any provision is held unenforceable, the remaining provisions shall remain effective to the extent permitted by law.
22.4. Failure to enforce any provision does not waive the right to enforce it later.
22.5. Partners may not transfer or assign their Program accounts or rights without AccuTranslate's prior written consent.
22.6. Provisions relating to earned commissions, adjustments, taxes, confidentiality, intellectual property, limitation of liability, indemnification, and disputes shall survive termination to the extent applicable.
22.7. Electronic acceptance constitutes agreement to these Terms to the extent permitted by applicable law.
